TERMS & CONDITIONS

Auditiams Compliance & Risk Ltd ("Auditiams", "we", "us") operates audedu.auditiams.com (the "Website") and AUDEDU, a compliance education platform offering courses, examinations and professional certification (the "Platform"). By accessing or using the Website or the Platform — including purchasing a course, sitting an exam, or holding a certification — you agree to these Terms & Conditions. If you do not agree, do not use the Platform.

We may amend these Terms at any time. Changes take effect upon publication, and the "Last updated" date above reflects the latest revision. Continued use after changes constitutes acceptance.

You must be at least 18 years old to create an account. Where you act for an organisation (for example as a firm administrator), you confirm you are authorised to do so. You agree to: • Provide accurate, current and complete information • Keep your account credentials confidential • Accept responsibility for activity under your account • Notify us promptly of any unauthorised use

You are responsible for maintaining the security of your account, including any two-factor authentication used to sit higher-integrity exams.

Course prices are shown on the Platform in the stated currency and, where applicable, include or add VAT according to your location. The price payable is the price displayed at checkout and is taken authoritatively from our systems.

Payments are processed by a third-party payment provider. We do not store your full card details. Your enrolment (or, for bulk purchases, your seats) is created once payment is successfully completed. You are responsible for any taxes not collected at checkout. An invoice or receipt is made available for each purchase.

If you are a consumer in the EU/EEA, you have a statutory right to withdraw from a purchase within 14 days. Because courses are digital content supplied online, you expressly request immediate access at checkout and acknowledge that, once you begin accessing the course content, you lose the right of withdrawal for that course.

Where you have not begun accessing a course, you may request a refund within the 14-day period by contacting info@auditiams.com. For firm/bulk seat purchases, unassigned seats may be refunded within the same period; seats already assigned to and accessed by a learner are treated as above. Nothing here affects mandatory statutory rights that cannot be waived.

A firm may purchase multiple seats and assign them to individuals by email. Assigning a seat creates or links a learner account and enrols that person in the relevant course. The purchasing firm is responsible for ensuring it is authorised to assign seats to the individuals concerned and for the accuracy of the details it provides. Firm administrators can oversee their people's progress, CPD hours and certification status, and export training records, as described on the Platform.

Exams are delivered under the settings configured for each course, including time limits, question randomisation, pass marks and retake rules. Depending on the certification's integrity level, sitting an exam may require a verified email and two-factor authentication, an honour-code attestation, browser-activity monitoring, and/or third-party proctoring. Any monitoring is carried out as described in our Privacy Policy.

You must complete exams personally, without unauthorised assistance or materials. We may withhold results, void attempts, and decline or revoke certification where we reasonably believe academic misconduct has occurred.

Where you complete the required courses and exams for a certification pathway, and meet any prerequisites, a certification is issued to you with an issue date and an expiry date. Certifications are subject to a validity period and to continuing professional development (CPD) requirements for renewal, as described on the Platform; a certification may lapse or expire if these are not met.

We may correct, suspend or revoke a certification where it was issued in error, where the underlying exam is voided for misconduct, or as otherwise required. A certification evidences completion of the relevant AUDEDU training and assessment; it does not itself confer any licence, qualification, or regulatory authorisation, and we do not guarantee that any regulator, employer or third party will recognise or accept it.

Being listed on the public register is optional and requires your explicit, informed consent, which you give and can withdraw at any time from your account. You are responsible for the accuracy of the details shown, and you control which fields are public. Withdrawing consent removes your listing. See the Register Privacy Notice.

Certification status may be verified by third parties via our verification page and API. Programmatic access requires an API key issued by us and is subject to fair-use rate limits; automated scraping of the register is not permitted.

You may use the Website and the Platform only for lawful purposes and in accordance with these Terms. You may not: • Reproduce, adapt, publish or create derivative works from Platform content without prior written consent • Share your account or course access with others, or circumvent exam integrity measures • Attempt to gain unauthorised access to any systems, accounts or data • Interfere with or disrupt the integrity or performance of the Platform • Scrape, harvest or bulk-extract the public register other than via the documented API within its limits

All content on the Website and the Platform — including courses, assessments, text, graphics, logos and software — is the property of Auditiams Compliance & Risk Ltd or its licensors and is protected by Cypriot and international law. Certificates issued to you may be shared for the purpose of evidencing your certification, but the underlying course and exam content may not be copied, resold or redistributed.

We aim to keep the Platform available at all times but do not guarantee uninterrupted or error-free operation. We may suspend, withdraw or restrict availability for maintenance or operational reasons, and will give reasonable notice where practicable.

To the maximum extent permitted by law, Auditiams Compliance & Risk Ltd shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill, arising from your use of the Platform.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount you paid for the relevant course or service in the twelve (12) months preceding the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

You agree to indemnify and hold harmless Auditiams Compliance & Risk Ltd, its officers and employees from any claims, damages and expenses (including reasonable legal fees) arising from your breach of these Terms or your unlawful use of the Platform.

We may suspend or terminate your access with immediate effect if you materially breach these Terms, if required by law, or if we discontinue the service. You may close your account at any time by contacting us. Provisions that by their nature should survive (including intellectual property, limitation of liability and governing law) remain in effect. Personal data is retained and deleted as described in our Privacy Policy.

These Terms are governed by the laws of the Republic of Cyprus and the European Union. Disputes shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus, without prejudice to any mandatory consumer protections available to you in your country of residence.
